These Terms and Conditions ("Terms") govern your use of the Prime Matrix platform ("Platform"), a service provided by COREONETECH INNOVATION OPC PRIVATE LIMITED Universe Private Limited ("Company," "we," "us," or "our"). Please read these Terms carefully before using the Platform, as they affect your legal rights and obligations. By using the Platform, you agree to be bound by these Terms.

1. Definitions
1.1. "Platform" refers to Prime Matrix and all its services, tools, features, websites, and technologies offered under its brand.

1.2. "User" or "You" refers to any natural or legal person who registers, accesses, or uses the Platform in any manner.

1.3. "Strategy" means an algorithmic trading program created and offered on the Platform for the purpose of executing trades.

1.4. “Instance” means the execution of a specific Strategy by a User on their connected brokerage account. Each time a User activates a Strategy, it is considered a new Instance, even if the Strategy itself remains the same.

1.5. "Broker" means a SEBI-registered stockbroker with whom a User maintains a trading account and to whom the Platform is connected for order execution.

1.6. "Service(s)" includes, but is not limited to, providing access to algorithmic strategies, automated trade execution, performance dashboards, analytics, and related support.

1.7. “Algo,” “Algorithm,” or “Algorithmic Strategy” as used elsewhere on the Platform (including user interface elements, communications, or marketing content) refer to “Strategy” as defined in Clause 1.3 above.

2. Acceptance of Terms
2.1. By using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions presented to you at the time of your use of the Platform.

2.2. If you do not agree to these Terms, do not use or access the Platform.

2.3. These Terms may be updated or modified by the Company from time to time at its sole discretion. Continued use of the Platform after such changes shall constitute your acceptance of the revised Terms.

3. Eligibility
3.1. The Platform is intended for use only by individuals who are 18 years of age or older, and who are competent to enter into a legally binding contract as per the laws of India.

3.2. By registering or using the Platform, you represent and warrant that:

You are at least 18 years of age.
You have the legal capacity to agree to these Terms.
You are not a person barred from receiving services under the laws of India or any other applicable jurisdiction.
4. Services Offered
4.1. The Platform allows Users to:

Subscribe to SEBI-registered Research Analyst (RA) algorithms listed on the marketplace.
Copy strategies to their workspace and deploy them via connected brokerage accounts.
Create and deploy their own custom trading strategies using the platform tools.
Execute trades via connected brokerage accounts.
Monitor real-time positions, PNL, and performance dashboards.
Receive trade updates via WhatsApp notifications.
Access equity basket strategies for investors.
4.2. Prime Matrix acts purely as a technology intermediary providing tools and connectivity for algorithmic execution. It does not offer investment advice or portfolio management services.

5. Account Registration
5.1. To use certain features, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Maintain the confidentiality of your account credentials.
Accept responsibility for all activities under your account.
5.2. The Company reserves the right to suspend or terminate your account if it suspects any unauthorized activity or violation of these Terms.

6. License to Use
6.1. Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for personal trading purposes.

6.2. You shall not:

Modify, copy, distribute, sell, or lease any part of the Platform.
Attempt to extract the source code or underlying ideas.
Use the Platform for any illegal or unauthorized purpose.
7. Strategy Execution & Multiplier Use
7.1. When activating a strategy, you may select the number of instances and a multiplier that defines order quantity.

7.2. You acknowledge that:

Strategy outcomes are subject to market risks.
Past performance does not guarantee future results.
You are solely responsible for multiplier configuration and risk exposure.
8. Brokerage Connectivity
8.1. The Platform integrates with your SEBI-registered broker account via API.

8.2. You authorize Prime Matrix to access your brokerage account to place, modify, or cancel orders strictly according to the selected strategy logic.

8.3. You agree that:

You retain full custody of your funds and securities.
Prime Matrix cannot withdraw funds from your brokerage account.
The Company is not responsible for losses due to brokerage downtime, errors, or connectivity issues.
9. Risk Disclosure
9.1. Trading in equity and derivatives involves substantial risk, including the loss of capital.

9.2. By using the Platform, you acknowledge that:

Automated trading carries risks related to market volatility and technology.
You are solely responsible for the decisions and outcomes of your trades.
Prime Matrix shall not be held liable for any financial loss incurred through Platform use.
10. Caveat Emptor
Indian laws require investment advisors and portfolio managers to be registered with SEBI. Prime Matrix operates solely as a neutral technology platform and does not provide investment advice or portfolio management services. Responsibility for obtaining appropriate SEBI registration (if applicable) rests entirely with strategy creators.

Users and investors are strongly advised to conduct independent due diligence before subscribing to or deploying any strategy on the Platform.

11. Market Research, Reports, And Other Materials
11.1. Any opinions, news, research, or analyses made available through the Platform are for informational purposes only and do not constitute investment advice.

10.2 The Company makes no representations regarding the accuracy, completeness, or reliability of such information. You are solely responsible for all investment decisions

12. Fees & Payments
12.1. The Platform may levy charges for access to strategies, subscriptions, or add-on services.

12.2. All payments are non-refundable unless otherwise stated. Applicable taxes (including GST) shall be borne by the User.

12.3. The Company reserves the right to revise pricing at its sole discretion. Continued use after such revision implies acceptance.

13. Disclaimers
13.1. The Platform is provided strictly on an “as is” and “as available” basis.

13.2. We make no warranties regarding:

Accuracy or reliability of strategy outcomes.
Timeliness of execution.
Platform uptime or availability.
13.3. We are not liable for any losses arising from:

Technical failures or broker-side disruptions.
Internet or network issues.
Strategy underperformance or market volatility.
14. Third-Party Services
14.1. The Platform may integrate with third-party services (brokers, data providers, APIs).

14.2. Prime Matrix is not responsible for their accuracy, reliability, or availability.

14.3. Use of third-party services is at your own risk.

14.4. You are solely responsible for reviewing their respective terms and privacy policies.

15. Intellectual Property
15.1. All Platform content, technology, and materials are owned by the Company or its licensors.

15.2. You may not reproduce, distribute, or reverse engineer any part of the Platform without prior consent.

15.3. The intellectual property of strategy logic, configuration, or proprietary inputs created by a User shall remain solely with the User. Any confidential strategy-related data shared with Prime Matrix during configuration or deployment shall be treated as confidential trade secrets and not disclosed to any third party, except as required by law or regulatory directive.

16. Security
16.1. Unauthorized use of the Prime Matrix Platform or systems, including but not limited to unauthorized access, misuse of passwords, or interference with network operations, is strictly prohibited.

16.2. You must not use the Platform in a way that could damage, disable, or impair Prime Matrix infrastructure or interfere with others’ use.

16.3. Attempting to gain unauthorized access through hacking, password mining, or any other method is prohibited.

16.4. You are solely responsible for maintaining confidentiality of your login credentials. The Company shall not be liable for losses arising from unauthorized access due to your failure to secure them.

16.5. Prime Matrix may use cookies, analytics, or logs to collect anonymized information to improve security and user experience.

17. Termination
17.1. The Company may suspend or terminate access for:

Breach of Terms
Non-payment of fees.
Illegal or abusive behaviour.
17.2. Upon termination, all rights under these Terms shall cease immediately

18. Indemnification
You agree to indemnify and hold harmless COREONETECH INNOVATION OPC PRIVATE LIMITED and its affiliates from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or breach of applicable laws.

19. Limitation Of Liability
To the fullest extent permitted by law, the Company shall not be liable for:

Any indirect, incidental, or consequential damages.
Loss of profits, data, or goodwill.
Any trading losses, even if advised of the possibility.
20. Governing Law & Disputes
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ghaziabad, Uttarpradesh.

21. Miscellaneous
21.1. Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.

21.2. Severability: If any provision is unenforceable, the rest remain valid.

21.3. Waiver: No waiver shall be deemed continuing or applicable to other breaches.

21.4. Force Majeure: We are not liable for delay or failure caused by circumstances beyond our control.
